Senior Paralegal

Gamma is seeking a Senior Paralegal to accommodate its growing legal compliance needs. The newly created position will report to the CFO and represents an opportunity for someone to participate in the design of processes and workflows within our organization, and requires someone who would be comfortable in a “start up” role.  Responsibilities will include:

  • Review of Software License Agreements and Non-Disclosure Agreements
  • Working with existing customers to collect required documentation where it does not exist
  • Implementation of contract management software to build a comprehensive database of all Gamma contracts
  • Assistance in the negotiation of vendor contracts
  • Assistance with immigration files (applications, date management and coordination with outside counsel)
  • Export control screening and process improvement
  • Annual franchise tax reporting and corporate record keeping
  • Legal research, as needed.  (Possible areas to include GPL/LGPL software rules, protection of software via copyright)
  • Software license use, i.e.-customer compliance, in line with executed SLA’s
  • Annual filings (census reports, licenses, etc.), as they come up
  • Employment contracts and other HR support as needed
  • Annual Business Insurance renewal
  • Support with International entity filings as they arise
  • Due diligence should M&A activity become part of Gamma’s growth strategy
  • Assistance with interpretation of credit agreement compliance

While the list is long, Gamma’s volume in any one area is not very high, so the ideal candidate must be a generalist who enjoys variety and likes learning new things.  We expect the time requirements of this role to grow over time but are quite flexible in this offering and would consider candidates only looking for part-time employment.  A minimum of 20 hours of week would be required.  Ultimately, we do believe this will become a full time role and we are looking for that special individual who can identify new areas or needs and expand the responsibilities into a robust and full function at Gamma.  Candidates should have a minimum of five years’ experience, with exposure to corporate tasks as listed above, and hold a paralegal certificate.
